1. Operator and scope

This website and the associated Asymmetric Insights platform (“Portal”) are operated by asymmetric.vision GmbH, Kurfürstendamm 194, 10707 Berlin, Germany, registered with the Amtsgericht Charlottenburg under HRB 172365 B (“asymmetric.vision”, “we”, “us”). These Terms govern the use of the website and the Portal.

2. Acceptance

By requesting access to the Portal, creating an account, or using this website, you agree to be bound by these Terms. If you do not agree, do not use the Portal.

3. Portal access

Access to the Portal is by invitation only and granted at the sole discretion of asymmetric.vision. The Portal is intended exclusively for professional or semi-professional investors within the meaning of § 1 para. 19 nos. 32–33 of the German Investment Code (KAGB), or comparable qualified investors under equivalent foreign regulation. Before first use you will be asked to accept a Non-Disclosure Agreement and confirm your investor status.

4. Confidentiality

Research memos, deal information, documents, and any other content made available in the Portal are confidential. You must not copy, forward, disclose, or reproduce any Portal content to any third party without our prior written consent. Each view of confidential content is logged with the viewing user's identity and timestamp.

5. No regulated activity; no investment advice; no offer

asymmetric.vision GmbH is not supervised by BaFin and does not conduct any regulated activity within the meaning of the KWG, WpIG, or KAGB — including investment advice, investment brokerage, placement business, or portfolio management. Content made available on this website and in the Portal is for informational purposes only. It does not constitute investment advice, an offer, a securities prospectus, a solicitation, or a recommendation to buy or sell any security or financial instrument. Co-investment opportunities, where referenced, are private placements offered through individual special-purpose vehicles to qualified and accredited investors only. Nothing in the Portal is intended to replace independent legal, tax, or investment advice. Investments carry a high risk including total loss; past performance is not indicative of future results.

6. Accuracy of information

We take reasonable care in preparing materials but give no warranty that content is complete, current, or free of errors. Any forward-looking statements are opinions at the time of publication and may change without notice.

7. Acceptable use

• Do not attempt to access accounts, data, or systems you are not authorised to access.
• Do not circumvent security measures, rate limits, or the audit log.
• Do not use automated tools to scrape, crawl, or copy Portal content.
• Do not share your credentials; you are responsible for all activity under your account.

8. Data protection

Personal data is processed in accordance with our Privacy Policy. Data is stored in the European Union: Supabase in Frankfurt (eu-central-1) and Vercel serverless functions in Frankfurt (fra1).

9. Termination

You may delete your account at any time via the Settings page. asymmetric.vision may suspend or terminate your access at any time, with or without cause, including for breach of these Terms or the NDA. Sections intended to survive termination (including confidentiality, disclaimers, and limitations of liability) shall survive.

10. Liability

We are liable without limitation for intent and gross negligence, for damages arising from injury to life, body, or health, and as required by the German Product Liability Act. For slight negligence we are liable only for breach of material contractual obligations (“Kardinalpflichten”) and only up to foreseeable, typical damages. Any further liability is excluded.

11. Intellectual property

All trademarks, logos, text, graphics, and code on this website and in the Portal are the property of asymmetric.vision GmbH or its licensors and are protected by intellectual property law. No rights are granted by these Terms except the limited right to access the Portal for the purposes set out above.

12. Changes

We may amend these Terms from time to time. Material changes will be notified via the Portal or by email. Continued use of the Portal after the effective date constitutes acceptance of the amended Terms.

13. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms, to the extent permitted by law, is Berlin, Germany.

14. Severability

If any provision of these Terms is or becomes invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the economic purpose of the original provision.
